1. Preamble.
In conducting our business, we adhere to the principles of honesty, integrity and fair distribution of risks in relations with our partners and expect the same approach from our counterparties.
The principles and rules set out in this document are binding on all contractors, suppliers and other contractors of DRAWNDRESS, and are an integral part of any contract entered into by DRAWNDRESS.
If, due to the substance of a contract with a counterparty, a rule set forth in the Code cannot be applied, it shall be deemed to be excluded from the contract. DRAWNDRESS may specify within contracts how to apply the rules set forth in the Code.
2. terms.
DRAWNDRESS – OOO “B29” (OGRN 1243600010477, INN 3666271351);
Partner – a person who has entered into an agreement with DRAWNDRESS or is negotiating with DRAWNDRESS to enter into an agreement, regardless of the legal form of such person and the subject of the agreement;
The parties are DRAWNDRESS and the Partner;
Contract – contracts, additional agreements, annexes, specifications and other agreements between the Parties, including the Code provisions accepted by the Parties.
3. anti-corruption policy.
DRAWNDRESS has a strong policy against corruption, and any violation of this section will result in the imposition of penalties under applicable law, as well as termination of the contract.
DRAWNDRESS and Partner expressly prohibit its employees, officers and contractors from giving or receiving anything of value, directly or indirectly, to or from a private person, company or government official, agent or employee, or from said persons anywhere in the world as consideration for such person’s assistance or influence.
The Parties and their employees, officers, directors, Partners shall not solicit, offer, give, request or receive any form of bribe, payoff, kickback or inducement, directly or through an intermediary or any other third party. Facilitation payments of any kind are strictly prohibited.
4. Conflict of Interest.
A conflict of interest is a situation in which a personal, financial or political interest prevents or may prevent employees from making good decisions on behalf of an Affiliate or DRAWNDRESS in dealing with third parties.
An example of a conflict of interest may be an employee’s participation in a decision to purchase goods from a company where the CEO or other key person is himself or members of his family.
If the Partner is aware of a conflict of interest or if a reasonable suspicion of a conflict of interest arises, the Partner must immediately notify DRAWNDRESS Compliance.
5. Allocation of risks and responsibilities.
DRAWNDRESS adheres to a fair approach to the distribution of risks in the conduct of its business. We are responsible for and are willing to indemnify the Partner for damages caused by our acts/ omissions and the acts/ omissions of our employees.
We expect the Partner to adhere to the same principles in the conduct of its business. If the Partner’s acts/ omissions, breach of obligations or guarantees cause negative consequences for DRAWNDRESS, the Partner shall compensate for such negative consequences.
At the same time, some DRAWNDRESS business processes do not allow for an accurate assessment of the amount of losses; therefore, contracts may provide for special liability measures for individual cases.
6. Compliance with the law.
The Parties shall comply with all laws, regulations, industry standards and other rules applicable to their activities.
Compliance of the Partner and its activities with all applicable rules and regulations is an essential condition of the contracts concluded by DRAWNDRESS. The parties shall also exercise due diligence when selecting their counterparties.
7. Fair Competition.
In its activities, the Partner and DRAWNDRESS adheres to the principles of fair competition. Violation of antimonopoly legislation and other laws regulating trade may entail civil, administrative and criminal liability.
The Parties shall exclude from their practice actions unreasonably restricting trade. The Partner’s deviation from the principle of fair and honest competition is a ground for termination of cooperation.
